1. PURPOSE

The Global Service Concierge company operates a platform (hereinafter the "Platform ") that is accessible from the site www.live-booker.com through which it proposes, as an agent, a search and ticket purchasing service (hereinafter "The Tickets ") for cultural events in Europe in the name of and for the Customer account (hereinafter "the Customer ") (hereinafter the "Order").


The Order is the subject of a mandate (hereinafter "the Mandate ") between Live-booker.com and the customer during which Live-booker.com may offer several services (hereinafter "the Services ").


Global Service Concierge and the customer are hereinafter collectively or individually a "Party".


These terms and conditions (hereinafter the "Terms and Conditions ") are intended to set the terms and conditions of the provision of the Order by Global Service Concierge to the Customers, as well as to define the rights and obligations of the Parties within this scope.


They shall signify the entire agreement of the Parties and shall cancel and replace any previous agreement, letter, offer or other document either written or expressed having the same purpose.


They are accessible and printable at any time by a direct link on the Platform homepage.


They may be supplemented, if necessary, by special conditions of use, which supplement these Terms and Conditions and, in the event of contradiction, prevail over them.

2. PLATFORM OPERATOR

The Platform is operated by Global Service Concierge, a simplified joint-stock company, registered at the Paris Business Register under number 809 913 502, located at 5 Rue Saint Benoit, 75006 Paris (hereinafter "Live-booker.com").

3. ACCEPTANCE OF TERMS AND CONDITIONS

The Client declares to have taken note of these Terms and Conditions and to accept them by validating the Order Request with Live-booker.com (hereinafter "the Order Request"), as envisaged in the article "MODALITIES OF THE Order Request".


This acceptance can be only full and complete, without modification of any kind whatsoever. Any subject membership is considered to be null and void. The customer who does not agree to be bound by these terms and conditions should not access the platform.

4. ACCESS TO THE PLATFORM

The Platform is accessible :


- To any individual of full legal capacity to commit to the title of the present Terms and Conditions and are at least 18 years of age. A Customer who does not have full legal capacity can access the Platform and the Services only with the consent of his legal representative.


- Any legal person acting through an individual with powers to contract in the name and in behalf of the individuals.

5. REGISTRATION ON THE PLATFORM

Registration on the Platform (hereinafter the "Registration") is performed during the Order Request.


The Client is obliged to fill out a registration form, completing all the required information, including his / her email address and postal address, and check the box "I have read and accept the terms and conditions of use - « Good for mandate given to Live-booker.com" and uncheck, if necessary "I agree to receive newsletters "if the Customer does not wish to be informed.


The Client guarantees Live-booker.com that information entered in the registration form is accurate and that there is no incorrect or misleading information and they acknowledge to having been informed that any incomplete entry will not be validated and will make the realization of the Order impossible.


During the Order Request, the customer has the possibility, (i) either to register as a guest, (ii) or proceed to create an account on behalf of the customer (the "Account "). This account, once created, will give him access to a personal space (hereinafter the "Personal Space"), which will enable him to monitor the execution of the Order, in such form and by such technical means as the Company deems most appropriate.


The Customer may access his Personal Space at any time after having identified himself with his login and password.


The Customer agrees to inform Live-booker.com without delay of any change to said information to the contact address indicated in the article "Platform Operator" herein or to update this information through his Personal Space in the event of the opening of an Account.


Live-booker.com cannot be held responsible in the event that errors or oOrders on the part of the Customer have not enabled him to carry out the Order.

6. STRICTLY PERSONAL USE

As soon as Live-booker.com intervenes as an agent, the execution of the Order by Live-booker.com is strictly personal to the Customer who has registered on the Platform to the exclusion of any other third party, it being understood that In the case of registration by a legal entity, such registration shall be validly effected by any duly authorized person.


Therefore, the user of the Services is defined as the person whose personal information corresponds to that which was provided at the time of registration.


The Client is also responsible for maintaining the confidentiality of his username and password and expressly acknowledges that any use of his account on his behalf will be deemed to have been done by himself


In the event that the Customer finds that his identity is or has been used without his knowledge, he agrees to notify Live-booker.com as soon as possible, at the address indicated in the article "Platform Operator".

7. DESCRIPTION OF THE PLATFORM AND THE ORDER

7.1 Description of the Platform


The Platform identifies cultural and, in particular, musical or sporting events (hereinafter referred to as "the Events "), which Live-booker.com offers, in particular, as an agent, to search for and acquire the Tickets to attend the Event in the name and on behalf of the Customer.


Each Event on the web page on which is published:


- A presentation of the Event.

- The date and place of the Event.

- The Order Price as specified in the article « INVOICING AND PAYMENT ».

- Any other information that Live-Booker.com deems useful and in particular the categories of the Tickets and the official date of the official sale of the TIckets by means of a tallying time.

- All the information listed in article L111-1 of the Consumer Code.


Live-Booker.com reserves the right to only list the Events of its choice and for which Live-Booker.com believes it can assure the realization of the Order.


Live-booker.com only lists the Events before their official release, except in exceptional cases, at the discretion of Live-booker.com.

However, the Customer may ask Live-booker.com to cover any Event that is not mentioned on the Platform by sending an e-mail to the address indicated in the article "Platform Operator". Live-booker.com may, at its own discretion, decide whether or not to cover the Event desired by the Customer.


The photographs, representations and descriptions of the Events described on the Platform are given as accurately as possible. However, they are only informative and indicative and are not the responsibility of Live-booker.com, which the Customer acknowledges and accepts.

7.2 Description of the Order


Live-Booker.com proposes, as an agent, to search and acquire the Tickets in the name of and on behalf of the Customer to attend Events, according to the following process :


(i) The Client must complete a Request for a Order on the Platform (article "MODALITIES OF THE Order REQUEST"),

(ii) Upon validation, the Order Request will be processed by Live-booker.com according to the modalities indicated in the article « EXECUTION MODALITIES OF THE Order BY LIVE BOOKER.COM »

(iii) The Order shall terminate upon delivery of the Tickets (hereinafter "End of the Order").

7.3 TECHNICAL ASSISTANCE


Live-booker.com offers the Customer technical support accessible by email at the address indicated in the article "Platform Operator", from Monday to Friday, from 10 am to 6 pm, except on holidays according to the French calendar, enabling him to declare any difficulties encountered while using the Services.

7.4 OTHER SERVICES


Live-booker.com reserves the right to propose any other Service, in a form and according to the functionalities and technical means that it will deem most appropriate to render said Services.

8. TERMS AND CONDITIONS OF CLIENT ORDER REQUEST

The Client who wishes to give a mandate to Live-booker.com to carry out a Order must provide information for the desired Event (hereinafter "the Order Request") :


- The date.


- The category (if available) of the Tickets.


- Number of tickets.


- The delivery method either by email or by post, and consequently the format of the tickets (electronic or paper) (hereinafter referred to as "Delivery Method ").


- Delivery delay, standard (hereinafter referred to as "Standard Delivery "), or quick (hereinafter referred to as "Fast Delivery "). Fast Delivery modalities are described in the article “DELIVERY”.


- And more generally all the information required at the time of registration.


The Customer acknowledges to be informed that this information makes it possible to determine precisely the extent of the Mandate. The Order cannot be validated if the Order Request does not contain all the required information


The Order Request is validated by clicking on the "Validate the Order" button and implies that the Customer acknowledges and accepts that Live-booker acts as agent in his name and on his behalf to search for and acquire one or more tickets for one determined Event and according to a determined price the article "INVOICING AND PAYMENT".


The Client may access the summary of his Order Request and may correct any entry errors as long as it is not definitively validated.


Once the Order Request has been validated, the Client will directly access a page summarizing the details of his Order Request. The Client is invited to verify all the information provided, including the information required for delivery, before clicking on the "Continue to payment" button.


The Order Request is considered as completely validated by Live-booker.com after the Registration as mentioned in the article "PLATFORM REGISTRATION" and after payment via the Platform as mentioned in the article "INVOICING AND PAYMENT."


Live-booker.com then sends the Customer an email confirming the Order Request, at the address entered at the time of Registration.


The Customer acknowledges and accepts that an Order Request cannot be modified once it has been definitively validated. Nevertheless, the Customer will be able to inform Live-booker.com of a change in delivery address by sending an email to the address indicated in the article «Platform Operator». The request to change the delivery address will be taken into account only if the Mission has not yet been fully completed and the Tickets have not been shipped.

9. IMPLEMENTATION MODE OF THE ORDER BY LIVE-BOOKER.COM

9.1 Search and Acquisition of the Tickets in the name and on behalf of the Customers


Live-Booker.com agrees to make its best efforts to carry out the Order with diligence and in particular, to seek and acquire one or more Tickets in the name of and on behalf of the Customer, in accordance with the instructions given during the Order Request and from the opening of the official sale of the Event.

9.2 Ticket Category


Live-booker.com agrees to make its best efforts to ensure that the Tickets acquired in the name of and on behalf of the Customer correspond to the category entered at the time of the Order Request.


However, in the event of difficulties in the performance of the Order and in particular in the event that the category specified by the Customer at the time of the Order Request is no longer available at the time of the official sale of the Tickets, Live-booker.com agrees to inform the Customer at the address indicated at the time of the Registration, who may, if necessary, decide to cancel their Order Request in accordance with the modalities set out in the article "CANCELLATION OF THE ORDER REQUEST BY THE CUSTOMER".


If the Customer decides to maintain the Order Request for a Ticket in a higher category, Live-booker.com reserves the right to send the Customer a supplementary invoice in accordance with the provisions of the article "ORDER PAYMENT" before The End of the Order.

9.3 Placement


Live-booker.com agrees to make its best efforts to ensure that tickets acquired in the name of and for the account of the customer, matching tickets side by side, unless otherwise expressly indicated at the time of the Order Request.


However, in the event of difficulties in the execution of the Order and especially in a case where a placement side by side is not possible, for whatever reason, whether Live-booker.com agrees to inform the customer at the address specified at the time of registration, who may, if necessary, decide to proceed to the cancellation of its Order request in the manner prescribed by section "Cancellation of the Order request by the customer."

9.4 Ticket format


Live-booker.com agrees to make its best efforts to ensure that the Tickets acquired in the name of and on behalf of the Customer correspond to the category entered at the time of the Order Request.


In the hypothesis where Live-booker.com could acquire such tickets in the form chosen by the customer (including, but not limited to: paper tickets and e-tickets), Live-booker.com reserves the right to acquire the tickets in another form. When the form initially chosen and paid by the customer has a price higher than that actually obtained by Live-booker.com, the difference between the selected shape and the resulting shape is refunded to the customer. Otherwise, no additional cost is charged to the customer, the difference is charged to Live-booker.com.

9.5 Shipping


Live-booker.com ensures the delivery of tickets, according to the method selected by the customer during the Order Request.


The customer acknowledges to being informed and accepts that, regardless of the delivery method chosen at the time of the Shipping Request, Live-booker.com reserves the possibility of sending the tickets exclusively in electronic format by email.


Live-booker.com ensures the delivery of tickets, acquired in the name of and for the Customer’s account all over the world.

9.6 Delivery times


Live-booker.com agrees to make its best efforts to ship the Tickets acquired in the name of and on behalf of the Customer, according to the method selected by the customer during the Order Request :


- Standard Delivery, which means Live-booker.com will do its best effort to ship the tickets at the latest 2 weeks before the event.


- Fast Delivery, which means Live-booker.com will ship the tickets at the latest 2 weeks after the official on sale or the closing of the service for said concerts.


However, the customer acknowledges that these time limits are provided as a guideline only and may be modified by Live-booker.com, at his convenience, in case of a period of high demand or for certain events. Live-booker.com nevertheless agrees to inform the Client in case of difficulties in the execution of the Order and in particular, in case of any delay in the shipment of the Tickets.


When the client chooses “Fast Delivery”, Live-booker.com agrees to refund the “Fast Delivery” fees if the shipping exceeds the forementioned delays.


At the time of delivery of the Tickets, Live-booker.com sends an e-mail to the Customer, (i) with the e-Ticket(s) attached, or (ii) an e-mail indicating the Ticket Tracking number so that the Customer can follow the routing by post.


The Customer acknowledges having been informed that Live-booker.com does not hold itself to the arrival deadline of the Tickets and accepts that its responsibility can in no case be incurred in case of delay of delivery by a third party.


The customer also acknowledges and agrees that Live-booker.com, can provide vouchers with the order, which will have to be exchanged for the final ticket under conditions which will be specified on the voucher.

10. CANCELLATION OF AN ORDER REQUEST BY THE CUSTOMER

10.1

The customer is informed that a right of cancellation applies in principle to the contracts concluded between a professional and a consumer online services, this right must be exercised within the fourteen (14) days of the conclusion of the contract.


The customer is expressly informed and accepts that the Order is provided as soon as he registers and that the end of the Order comes before the end of the cancellation period referred to above. Accordingly, the customer expressly waives his right of cancellation, which may not be exercised, in accordance with article L.121-21-8 of the Consumer code and acknowledges that if the Order request has been confirmed and that the payment was made, the Customer will not be able to cancel, except as set out hereinafter.

10.2

Finally, in case of difficulties in the execution of the Mission by Live-booker.com as mentioned in the article CATEGORY OF THE TICKETS and in particular in the hypothesis where the category informed by the Client at the time of the Request of Mission is no longer available at the time of the official sale of the tickets, the Client may request the cancellation of the Mission Request by sending an e-mail to the address indicated in the article OPERATOR OF THE PLATFORM. In such circumstances, Live-booker.com will refund the price of the tickets to the Customer in the conditions detailed in the article "BILLING AND PAYMENT OF THE PRICE".

11. CANCELLATION OF ORDER REQUEST BECAUSE OF THE IMPOSSIBILITY FOR LIVE-BOOKER TO EXECUTE THE ORDER

11.1

Assuming where Live-booker.com would be unable to execute the Order and especially to acquire the tickets in the name of and for the account of the customer, the Mission Price will be repaid to the Customer under the conditions detailed in section "Price billing and payment.".


Live-booker.com agrees to inform the customer of any cancellation, amendment or postponement brought to his attention as soon as possible, by any means necessary and especially by email to the address provided by the Customer during registration.


11.2

In the event of postponement of the event or change of the place and time of the event, Live-booker.com undertakes to inform the customer at the address specified at registration, who may, if necessary, decide to proceed to the cancellation of his Order Request in the manner prescribed in the section "CANCELLATION OF ORDER REQUEST BY THE CUSTOMER"


11.3

In case of cancellation of the event, Live-booker.com will refund the customer the Price of the tickets but not the booking fees under the following conditions :


- In the case of thermal paper tickets, the customer must return such tickets, subject to the Live-booker.com Order Request, by registered mail with acknowledgement of receipt. Live-booker.com must acknowledge such letter at the latest within thirty (30) days of notification of the cancellation. The date of the first submission of the mail as proof between the Parties. The refund will be made within a period of thirty (30) days, by any means deemed useful and is exclusivly the choice of Live-booker.com.


- In the case of electronic tickets, the refund will be made within thirty (30) days following the announcement of the cancellation of the event in an automatic method to the bank account provided at registration.


In any case, the customer acknowledges and accepts that the responsibility of Live-booker.com can in no case be engaged, in any capacity whatsoever, in the event of non-confirmation, cancellation, amendment or postponement of the event, making the execution of the Order impossible.

12. BILLING AND PAYMENT

12.1 ORDER PRICE

The platform provides information on each event page, the order price (hereinafter, "the Order Price") which includes :


- The Price of the Ticket(s) at their face value (hereinafter "Price of the Tickets") ;


- and the price corresponding to the execution of the Order and returning to Live-booker.com (hereinafter "The price of Services") includes any taxes, research, acquisition and processing costs of the Order.


The Order Price is expressed in euros, all taxes included.


The applicable Commission is indicated on the Platform by every useful means as per Live-booker.com considers the most appropriate.


The Customer acknowledges having been informed that :


- Delivery costs are his entire and exclusive responsibility and depend on the selected delivery method.


- Standard Delivery is a free service but Fast Delivery is a paying service. The price of this service is specified at the moment of the Order of Mission and is a supplementary service subject to French taxes.


The Customer acknowledges having been informed that in case of delivery outside the french territory, the Order Request will be subject to taxes and customs duties specific, due to receiving tickets by the customer and which will remain his responsibility, he acknowledges and expressly accepts this.


Live-booker.com reserves the right, at its own discretion and according to its sole discretion, to offer promotional offers or price reductions.


The Customer acknowledges and accepts that the Order Price for the same Event may fluctuate over time depending on the evolution of the demand, at any time, at the discretion of Live-booker.com.


The new rates will be immediately applicable to any new Order Request, which the Customer acknowledges and accepts.

12.2 TERMS OF PAYMENT

The Order Price is payable at the time of the on-line Order Request on the Platform, by credit card, through the payment provider of his choice (hereinafter the "Payment Provider"), which the Customer acknowledges and accepts.


The Customer further guarantees that he has the necessary authorizations to make the payment.


The Customer acknowledges having been informed that the details and bank information provided at the time of payment of the Order Request will be collected by the Payment Provider selected by Live-booker.com and indicated on the Platform and will be retained through a secure method during the legal storage period of the said data. Live-booker.com does not store any bank details.

12.3 INVOICING METHODS

Live-booker.com agrees to provide at the time of the Order request and therefore of the payment, a Customer letter at the address indicated at the time of registration summary indicating :


- The date and place of the Event ;


- The date of the official sale ;


- The Order Price by cutting the Ticket Price(s) and the Price of the Services ;


- The applicable VAT ;


- Delivery costs, where appropriate ;


In exceptional cases or Live-booker.com is not aware of the Ticket Price(s) at the time of the Order Request, Live-booker.com mentions only the Order Price.


At the end of the Order, Live-booker.com agrees to send to the Client at the address indicated at the time of Registration, an invoice summary reflecting the Order and mentioning :


- The date and place of the Event ;


- The Order Price by cutting the Ticket Price(s) and the Price of the Services ;


- The applicable VAT ;


- Delivery costs, where appropriate ;


- The delivery date of the Tickets and therefore the date of the End of the Order.

13. DURATION AND UNSUBSCRIPTION

The Services are subscribed for the duration of the Order.


In the event of failure to create an Account, the Customer may unsubscribe from the Services at any time, by sending a request to this effect to Live-booker.com by email, to the contact details mentioned in the article "PLATFORM OPERATOR".


In the event of the creation of an Account, the Customer may unsubscribe from the Services at any time through his Personal Space.


Unsubscription is effective immediately. It causes the Customer Account to be deleted automatically.


The present Terms and conditions shall apply throughout the duration of the Order and, in the event of the closure of the Account, for the duration necessary for the execution of the last Order validated hereunder.


The Customer is expressly informed and agrees that all information and documents stored in his Personal Space will be deleted immediately upon closing the Account. The Customer will make it his responsibility to recover the data on the medium and in the format of his choice, which he recognizes and accepts.

14. SERVICE LEVEL GUARANTEE

Live-booker.com will do its best to ensure that the Platform runs continuously 24 hours a day, 7 days a week, except in case of force majeure.


In case of necessity, Live-booker.com reserves the right to limit or suspend access to the Platform, to carry out any maintenance and/or improvement operations. In this case, Live-booker.com agrees to inform in advance via a general informative post on the homepage of the platform of these maintenance and improvement operations.


Live-booker.com agrees to implement all technical means, in accordance with the practice of the profession and prior art necessary to ensure safety and access to the Services, especially for the application of the Order, in terms of the protection and infrastructure monitoring, physical or intangible control access such as infrastructure, as well as on the implementation of prevention detection and recovery measures to protect the servers from malware.


Live-booker.com also agrees to take all useful precautions, given the data and risks presented by the automated data processing implemented for the execution of the Order, to preserve the security of the data, and especially preventing that which is damaged or that of third parties who do not have authorization to access it.

15. COMPLAINTS

Any complaint relating to non-compliance of the execution of the Order by means of the Order request must be made by email, to the address indicated in article "The Platform Operator," within seven (7) working days from the end of the Order. Otherwise, no subsequent complaint will be admissible.


Live-booker.com may, at its discretion, provide any form of compensation considered useful, provided that Live-booker.com recognizes the merits of the complaint. Live-booker.com will directly contact the customer within a maximum of seven (7) days from the receipt of the complaint to indicate either that it will not address the complaint or that it appears to be unfounded in view of its obligations hereunder, or the proposed method of compensation.


Any claim relating to the receipt of tickets, must be made by email, to the address indicated in article "The Platform Operator" within 5 (five) weeks from the end of the official Ticket sale. Otherwise, no subsequent complaint will be admissible.


Live-booker.com agrees to send to the Customer a duplicate of the Ticket, subject of the Order Request under the conditions mentioned above in the article "Delivery", provided that the ticket is duplicable. In particular, the Customer acknowledges and accepts that the thermal tickets (in paper format) are not duplicable and, consequently, that Live-booker.com will not be able to duplicate them in this case.

16. CUSTOMER OBLIGATIONS

Without prejudice to the other obligations provided herein, the Customer agrees to comply with the following obligations :


(i) The Customer agrees, in his use of the Platform, to respect the laws and regulations in force and not to infringe the rights of third parties or public order.


He is also solely responsible for the proper completion of all administrative, fiscal and/or social formalities and any payments of contributions, and taxes of any kind that he may have in connection with his use of the Platform and the Order Request. In particular, the Customer is solely responsible for verifying the import conditions and/or use of the Tickets, the subject of the Order Request in the country of delivery. The responsibility of Live-booker.com cannot under any circumstances be engaged in this capacity.


(ii) The Client acknowledges that he is aware of the characteristics and constraints, including technical constraints, of all the Services and, in particular, of the execution of the Order


(iii) The Customer agrees to make strictly personal use of the Tickets, received as a result of the Order Request. Consequently, it is prohibited to assign, grant or transfer all or any of his rights or obligations hereunder to any third party in any way whatsoever.


(iv) The Customer shall not reproduce, copy, modify, in whole or in part, the Tickets received as a result of the Order Request, for any reason whatsoever, in any form whatsoever. Live-booker.com may be liable to the Customer for any breach of this obligation.


(v) The Customer agrees to provide Live-booker.com with all documents, elements, data and information necessary for the proper performance of the Order. More generally the customer agrees to cooperate actively with Live-booker.com for the proper implementation of the contracts and to inform of any difficulties related to this execution.


(vi) The customer may not use the services of live - booker.com, and particularly to make Order Requests to perform the illegal resale of tickets.

17. PROHIBITED CONDUCT

17.1 It is strictly forbidden to use the platform for the following purposes :

- the practice of illegal, fraudulent activities or affecting the rights or safety of others,


- the violation of public order or breach of current laws and regulations,


- hacking into a third party computer system or any activity likely to harm, control, interfere or intercept all or part of a third party’s computer system, violating its integrity or safety,


- assistance or incitement, in any form or by any means, to one or more of the acts and activities described above,


- and more generally any practice diverting the Services for purposes other than those for which they were designed.

17.2 It is strictly forbidden for any Customer to copy and/or divert the concept, technologies or any other element of the Platform and/or Blog for his own purposes or for those of third parties.

17.3 Other things which are strictly forbidden: (i) any behaviour likely to interrupt, suspend, slow down or prevent the continuity of the Services, (ii) any intrusion or attempted intrusion into the Live-booker.com systems, (iii) any embezzlement of the Platform’s system resources, (iv) any action likely to impose a disproportionate burden on the infrastructure of the Platform, (v) any breach of security and authentication measures, (vi) any act likely to cause a violation in the financial, commercial or moral rights and interests of Live-booker.com, and more generally (vii) any breach of these Terms and Conditions.

18. NON-COMPLIANCE SANCTIONS

In the event of non-compliance any of the provisions of these terms and conditions, or more generally, violation of the laws and regulations by the Customer, Live-booker.com reserves the right to :


(i) immediately temporarily or permanently suspend the access to the Customer Order Request application of the instigator of the non-compliance, or those who have participated, including, in the case of provision of incorrect, incomplete, misleading or outdated information at registration,


(ii) remove any content related to the non-compliance or infringement in whole or in part,


(iii) take all appropriate measures and initiate legal proceedings,


(iv) notify appropriate authorities, cooperate with them and provide them with all relevant information to research and for the repression of illegal or illicit activities.


In the event of non-compliance by the Customer concerning an essential obligation arising out of these Terms and Conditions, or of repeated non-compliance of these Terms, Live-booker.com reserves the right not to execute the Order and to terminate it. Live-booker.com agrees to notify the Customer by e-mail at the address indicated at the time of Registration.


They will be deleted automatically and without prior notice to the customer’s account, without prejudice to the other consequences possibly resulting in the application of these Terms and Conditions.

19. Live-booker.com’s LIABILITY AND WARRANTY DISCLAIMER

19.1 Live-booker.com is committed to diligently providing Services according to the best practices, given that an obligation of means weighs on itself, excluding any performance obligation, which the customer acknowledges and expressly accepts. Its responsibility is limited to the execution of the Order according to the methods described herein, excluding any other benefit.


19.2 Live-booker.com declines all responsibility in the event of any loss of information available on the Customer’s account, the Customer having to make sure to save a copy of the information he deems necessary and is not entitled to any compensation in this respect.


19.3 Live-booker.com agrees to carry out regular audits to verify the operation and accessibility of the Platform. As such, Live-booker.com reserves the right to temporarily interrupt access to the Platform for maintenance reasons. Also, Live-booker.com cannot be held responsible for the momentary difficulties or impossibilities in accessing the platform that are due to circumstances that are external, force majeure, or even those which are due to the disruption of telecommunication networks.


19.4 In any event, applicable liability to be incurred by Live-booker.com under these Terms and Conditions is expressly limited to the direct damage sustained by the Customer. Live-booker.com cannot be held liable to the Customer for damages of any kind, direct, material, commercial, financial or moral, due to the Customer’s recourse to the Services, for an amount in excess of the amounts invoiced by Live-booker.com as compensation for the Services which resulted in its liability, at the time of the alleged damage. The liability of Live-booker.com can only be committed if the Customer has made a complaint under the conditions stipulated in the article "Complaints".


19.5 The Customer acknowledges that the liability in this section applies only to any professional Customer lacking customer quality according to the law.

20. INTELLECTUAL PROPERTY

These Terms and Conditions do not give the Customer intellectual property rights of any kind on the Platform, as well as on all texts, images, audio-visual contents and other content, operated by Live-booker.com on the Platform, including these Terms and Conditions, trademarks, trade names and logos, software, structures, infrastructures and databases used by16 Live-booker.com within the Platform (hereinafter the "Content"), which remain the exclusive, full and entire property of Live-booker.com.


Any act of disassembly, decompilation, decryption, extraction, reuse, and more generally any reproduction, representation, distribution, adaptation, marketing of the Platform and/or Content by the Customer, not in compliance with the provisions of these Terms and Conditions are prohibited and may be subject to prosecution.

21. PERSONAL DATA

Live-booker.com declares to respect all the obligations and regulations which it incumbents on the protection of personal data to guarantee in particular the security and the confidentiality of the collected and processed data. In particular, it agrees to make all mandatory declarations to the National Commission for Information Technology and Civil Liberties.


Live-booker.com is not responsible for the retention of the data collected and processed by the Payment Service Provider. The Customer is informed and accepts that the Payment Provider is solely responsible for the processing constituted as such.

22. ADVERTISING

Live-booker.com reserves the right to insert, on any page of the Platform and in any communication to the Customer, any advertising or promotional messages in a form and under the conditions of which Live-booker.com will be the sole judge.

23. THIRD-PARTY LINKS AND SITES

Under no circumstances shall Live-booker.com be liable for the technical availability of websites operated by third parties (including potential partners) which the Customer may access via the Platform.


Live-booker.com accepts no responsibility for the content, advertisements, products and/or services available on such third-party websites and it is reminded that they are governed by their own terms of use.


Live-booker.com is also not responsible for any transactions between the Customer and any advertiser, professional or merchant (including any potential partners) to which the Customer is directed via the Platform, and under no circumstances may be party to any disputes that may arise with these third parties concerning, in particular, the delivery of products and/or services, guarantees, declarations and any other obligations to which these third parties are held to.

24. WAIVER

The fact that one of the Parties has not exercised any right or power under the provisions of these Terms and Conditions or exercised it late may not be interpreted as a waiver to exercise all or part of this right and any exercise of any right or power shall preclude any further implementation of that right or power.

25. FORCE MAJEURE

Live-booker.com cannot be held liable to the Customer in the event that the performance of its obligations are delayed, restricted or made impossible due to the occurrence of a case of force majeure. In particular, cases considered to be force majeure are considered to be the assumptions usually recognized by the law and the courts.


The occurrence of a case of force majeure shall initially suspend the execution of the Orders for a period not exceeding one (1) month. Should the case of force majeure continue beyond the above-mentioned period, the Parties may terminate the present General Conditions, without any formality, without prior notice and without right of indemnity of any kind whatsoever, by sending a registered letter with acknowledgment of receipt taking immediate effect.

26. LANGUAGE

If these Terms and Conditions are translated into one or more languages, the language of interpretation shall be the French language in the event of contradiction or dispute as to the meaning of a term or provision.

27. NULLITY

Should any of the provisions of these Terms and Conditions be declared invalid or unenforceable by law, regulation or as a result of a final decision rendered by a competent court, only that provision would be struck null and void, the other provisions shall retain their full force and effect.

28. CHANGE OF TERMS AND CONDITIONS

Live-booker.com reserves the right to modify these Terms and Conditions at any time. Live-booker.com reserves the right to modify and/or discontinue offering all or part of the Services at any time at its discretion, subject to the execution of the Orders, which have been subject to and Request and have been validated.


The amended terms will apply to any Order Request carried out after their entry into force.


The customer who already has registered by the date of entry into force of the amended Terms and Conditions will be informed of these changes by all useful means, at least fifteen (15) days before their entry into force.


If the Customer does not accept the modified Terms and Conditions, the Customer agrees to no longer use the Platform.


Any customer who makes an Order Request after the entry into force of the amended Terms and Conditions has deemed to have accepted these changes and will be fully applicable.

29. ENTRY INTO FORCE

These Terms and Conditions came into force on June 9, 2017
